Terms and Conditions

Estimates/Quotes

• All prices are subject to VAT at the current rate Prices are valid for 30 days from the date of the quote
• Estimates and quotes do not include the following unless otherwise stated and will be charged on the final invoice
  • Delivery (couriers or postage)
  • Imagery/photography
  • purchase and sourcing
  • Copywriting
  • Any additional amends that exceed the amount stated within the quote or estimate
• Thought by Design will not charge for generating estimates or quotes, however we reserve the right to charge for detailed proposals which do not go ahead
• We will only commence work on a project once we have received written sign off from clients in respect of the quote
• If additional work is required during a project (outside of the remit outlined in the quote) due to unforeseen circumstances or a change in brief, we will submit or resubmit an estimate or quote for the additional work required and will not proceed until we have sign off from the client

For website projects:

• Hosting is charged at an annual rate of £15 per month (£180 per year) and must be paid for in full
• unused months are non-refundable - All hosting is provided via a third party source and so all responsibility lies with this entity and not Thought by Design

Invoices

• Invoices will be sent to the named contact upon project completion, unless otherwise agreed with the client
• Thought by Design may introduce invoice schedules/staggered payment terms for larger projects - these will be agreed with clients in advance
• Thought by Design reserves the right to invoice a 50% deposit at project start date
• Any invoice queries should be raised within 5 working days of invoice date
• Clients operating on a purchase order system should provide these at the project start

Fees/Payment Terms

• Our fees are always competitive for what we provide, which is a high quality, tailored, specialised design service. As such we do not generally offer discounts and a reduction in price is only enabled by reducing the level or extent of services to be delivered. We will, however, always try to propose solutions which accommodate our clients' available budgets and timescales
• Payment terms are within 30 days of the invoice date
• In the event you become more than 30 days in arrears, in respect of any fees due by you to us, where appropriate we reserve the right to suspend your website until payment is made or put any design projects in progress on hold
• We reserve the right to charge you interest on all outstanding fees at the rate of 8% above the base rate of Bank of England
• Re-invoicing for late payments will be charged at £10 per re-issued invoice

Termination of website services

• If you wish to transfer your hosting to an alternative provider, you need to give us 60 days notice in writing
• You will be provided with existing FTP details so your new provider can obtain relevant files to host
• If you wish to receive detailed files, a fee is chargeable, dependent on the amount of work involved and will be charged at the normal hourly rate
• We will not be responsible for the upload of the website to the new server/host, or for its working order in its new environment

Copyright

Content supplied by the client:

• Information/photography/copy/graphics/designs/trademarks or other artworks supplied by the client for inclusion in any design project is either owned by the client, or permission has been granted to use them

Print projects

• You will be supplied with final pdf files for each print job upon request. Should you wish us to resupply files to you at a later date, a charge may be made, depending on the quantity of files and efforts involved – all charged at the standard hourly rate
• Upon receipt of payment of the invoice, you own the design and other visual elements that are created for you by Thought by Design for each project and you may use or reproduce the design or the images therein for the purpose originally stipulated. You also own text content, photographs and other data you provided, unless someone else owns them
• Thought by Design owns all artwork, including any sketches, drawings, mock-ups or visuals, development files and any associated digital files used in the creation of the final design

Digital projects

• Upon receipt of payment of the invoice, you own the graphics and other visual elements that are created for you by Thought by Design for each project and you may use or reproduce the design or the images therein for the purpose originally stipulated. You also own text content, photographs and other data you provided, unless someone else owns them
• Thought by Design owns all artwork, including any sketches, drawings, mock-ups or visuals, development files and any associated digital files used in the creation of the final design

Photography

• Time spent searching image libraries for relevant photography will be charged for
• Purchasing of images is not included in any quotes or estimates unless otherwise stated

Confidentiality

• We are committed to maintaining the highest degree of integrity in all our dealings with potential, current and past clients, both in terms of normal commercial confidentiality, and the protection of all personal information received in the course of providing the business services concerned
• We will not divulge any information learned about your company and its clients
• We are happy to sign confidentiality agreements, either provided by you, or we have a template NDA we are happy to sign to protect your interests
